Welcome to Coconet’s Terms of Use (these “Terms”). This is a contract between you and Coconet LLC. (as defined further below), and we want to ensure that you fully understand your rights and our rights before using the Coconet application (“Coconet” or the “App”). Please take a moment to read these Terms carefully before enjoying the App. Once you access, view, or use the App, you agree to be legally bound by these Terms (so it's a good idea to read them first!).

If you do not agree with these Terms, you may not access or use the App.

Additionally, please note that the App is continuously evolving, and new features may be added frequently. Be sure to check back on this page for updates.

1. DEFINITIONS

For the purposes of these Terms of Use, "Coconet" refers to Coconet LLC., the owner and operator of the Coconet Website and Mobile Application. "Website" refers to the website located at www.coconetapp.com, and "App" refers to the Coconet mobile application. "User" means any individual who accesses, browses, or uses the Coconet Website or App. "Club" refers to any sports facility or organization offering services through Coconet. "Services" include, but are not limited to, court reservations, public games, classes, open matches, private lessons, courses, tournaments, and leagues available through Coconet. "Content" refers to any information, data, text, software, music, sound, photographs, graphics, video, messages, or other materials available on the Website or App.

2. COCONET Services

Coconet offers a variety of services designed to enhance the sports experience for its users. These services include reservations, where users can directly book courts for various sports through the Coconet App; open matches, where users can join public games available to anyone; group classes, where users can enroll in lessons to improve their skills in different sports; private lessons, where users can schedule one-on-one sessions with coaches for personalized training; courses, which are structured lessons available for users to improve their skills over time; tournaments, where users can participate in organized competitions and structured tournaments; and leagues, where users can join leagues to compete regularly throughout the season, enhancing their game and meeting other participants.

3. USER ACCOUNT

3.1 By accepting these Terms and Conditions, you confirm that you are over the age of 16. The Services are not intended for individuals under the age of 16. If you are under 16, you may only use the Services with the involvement of a parent or guardian.

3.2 To use the Services, you must create a user account with Coconet ("User Account") and accept these Terms and Conditions. You may also register by connecting your Google account, Facebook account, or another account integrated with our platform. In such cases, we will collect your personal data from the party managing those accounts. When registering a User Account, you agree to provide accurate and truthful information, and to keep this information up to date. You are solely responsible for any inaccuracies or errors in the information you provide.

3.3 Only one User Account per person is permitted, and registration is free of charge. The User Account is personal and cannot be transferred or assigned to a third party unless explicitly stated in these Terms and Conditions.

3.4 The User acknowledges that the login details and password for the User Account are strictly personal. You are responsible for all activities associated with your User Account. If you believe unauthorized access has occurred or may occur, you agree to immediately notify Coconet by emailing support@coconet.io. Coconet has the right, but not the obligation, to block access to the User Account if it believes unauthorized access has occurred or is imminent.

3.5 Coconet may restrict your access to the Services if it believes you are violating or will violate these Terms and Conditions. In such cases, Coconet may terminate the provision of Services with immediate effect, notifying you by email. If your account is terminated, any benefits or credits associated with the account will expire.

3.6 You may delete your User Account at any time. However, once deleted, you will no longer have access to the Services or the Platform.

3.7 The "Find a Game Partner" feature is only available to users who are 18 years of age or older. By using this feature, you confirm that you meet the age requirement. This feature allows users to connect with other players for sports activities, and it is intended for individuals seeking legitimate sports partners. You agree to use the feature responsibly and in accordance with these Terms and Conditions. Coconet reserves the right to restrict or terminate access to the "Find a Game Partner" feature if it believes that a user is violating these age requirements or engaging in inappropriate behavior.

4. PAYMENT AND CANCELLATION TERMS

The prices displayed on the Website are final and include taxes, unless otherwise stipulated by legal requirements, especially in relation to VAT, where a different issue is indicated and applied. Prices are displayed in the currency of the country where the service will take place.

All payments made on the Website or through the App are processed securely via Stripe, a leading payment processing platform. We use Stripe's secure system to ensure that all payment details are handled with the highest level of encryption and security. Coconet does not store any of your payment information directly. Instead, payment details are securely processed through Stripe's infrastructure, which complies with the Payment Card Industry Data Security Standards (PCI DSS). This means your credit card information is encrypted and protected from unauthorized access during transactions. By using the Website or App, you agree to the terms and conditions of Stripe's payment processing. For more details about their security measures and privacy policies, we encourage you to review Stripe's own privacy policy and terms of service. We utilize Stripe to process various payment methods, including but not limited to credit and debit cards, Apple Pay, and Google Pay, depending on your location. All transactions are processed in compliance with Stripe's secure and encrypted payment gateway to ensure the confidentiality of your financial information.

4.1 When using the "Find a Game Partner" feature, the payment for the reservation will be split equally between all players. If a player is unable to find a partner 24 hours before the scheduled game, their reservation will be automatically cancelled, and they will receive a full refund.

5. CANCELLATIONS

5.1. General Cancellation Terms
Transaction cancellations made through the Coconet App will be subject to applicable laws, including the Consumer Protection Law, 1981, and its associated regulations.

5.2. Court Booking Cancellation
You may cancel a court booking only in accordance with the cancellation policy set by each court owner. The specific cancellation terms, including the permitted cancellation timeframe, will be detailed in the booking confirmation sent to you upon completing the reservation and will require your acknowledgment.

5.3. Cancellation Fees
For any cancellation, a processing fee of 5% of the total transaction amount will be charged, up to a maximum of 100 ILS, in accordance with applicable law. Additionally, any costs incurred by Coconet in relation to third parties for the booking will be deducted from the refund amount.

5.4. Membership or Pass Cancellation
If you purchased a membership or a pass, you may cancel it at any time. However, you will be charged the full price for any courts used prior to the cancellation date.

5.5. Refund Processing
Refunds will be processed within 30 business days from the date of the cancellation request.

5.6. Late Cancellations and No-Shows
If you attempt to cancel after the designated cancellation period, your reservation will be non-refundable, and you will be charged the full amount for the booking. Failure to attend a scheduled activity without prior cancellation will also result in full charges.

5.7. Cancellation Due to External Factors
In cases where a booking is canceled due to the court owner’s decision, rain, safety concerns, or other unforeseen circumstances that prevent the use of the reserved court, you will receive a notification. You will then have the option to reschedule or cancel the reservation in accordance with the specific policies of the court owner. Any cancellations must be handled directly with the court owner.

5.8. Court Unavailability
If you book a court and it is unavailable at the reserved time without prior notification from Coconet, you will be entitled to a full refund or a credit equal to the paid amount for use at the same court. Additionally, you may receive compensation in the form of extra playtime equivalent to your original booking.

5.9. Club Management Discretion
The club manager reserves the right to cancel any booking due to operational constraints. In exceptional cases, cancellations may occur outside the app's cancellation policy. In such instances, compensation mechanisms are in place, and users should contact Coconet's customer service for further assistance.

6. WRITTEN COMMUNICATIONS AND NOTIFICATIONS

By using this Website or App, you agree that most communications with Coconet will be conducted electronically, including via email or notices posted on the Website or App.

For the purpose of any agreements or contractual matters, you consent to the use of electronic communication and acknowledge that all contracts, notifications, information, and other communications sent electronically by Coconet meet the legal requirements of being in writing. This does not affect any legal rights that are otherwise recognized for you under applicable law.

7. USER-GENERATED CONTENT

7.1 Users retain all rights to any content they submit, post, or display on or through the Website or App. By submitting, posting, or displaying content, users grant Coconet a worldwide, non-exclusive, royalty-free license to use, reproduce, adapt, publish, translate, and distribute such content. This license allows Coconet to utilize user-generated content for purposes related to the operation and promotion of the Website or App.

7.2 Coconet reserves the right to remove any user-generated content that violates these Terms, is deemed objectionable or inappropriate, or infringes on the rights of others. Content may also be removed if it violates applicable laws or regulations.

7.3 Users can manage their content and personal information through their account settings, including the ability to delete their profile directly from the Website or App. Deleting a profile will result in the permanent loss of all associated data, and this action cannot be undone. Users are advised to carefully consider their decision to delete their account, as it will affect access to the services provided by the Website or App.

7.4 Unless otherwise stated, all intellectual property in the Platform or in other parts of the Services is either owned or licensed by Coconet. Nothing in these Terms and Conditions shall be interpreted as a transfer of any intellectual property or other rights to the User or a third party.

7.5 Subject to the User’s compliance with these Terms and Conditions, Coconet grants the User a revocable, non-exclusive, non-transferable, non-sublicensable right to install and use the Application on Devices owned or controlled by the User, and to access and use the Application and the Services on such Devices strictly in accordance with these Terms and Conditions. The User may not use the Application or the Services for any commercial purpose.

8. WAIVER

No waiver by Coconet of a specific right or legal action, or Coconet's failure to enforce strict compliance by the User with any of their obligations, shall imply a waiver of other rights or actions arising from the agreement or these Terms, nor shall it exempt the User from fulfilling their obligations.

No waiver of any of these Terms or of rights or actions arising from the agreement will be effective unless expressly stated as a waiver, and the waiver is formalized and communicated to the User in writing.

9. DATA PROTECTION

The personal data you provide to Coconet during a transaction on the Website or App, as well as throughout the duration of your relationship with Coconet, will be processed in accordance with the following documents:

By accessing, browsing, and/or using the Website or App, the User consents to the processing of such information and data and affirms that all information or data provided is accurate.

10. APPLICABLE LEGISLATION AND JURISDICTION

Access, navigation, and/or use of this Website or App, as well as contracts for the purchase of products through it, will be governed by the laws of the State of New York, United States.

Any dispute, claim, or disagreement arising out of or related to access, navigation, and/or use of the Website or App, the interpretation and enforcement of these Terms, or purchase agreements between Coconet and the User, will be submitted to the non-exclusive jurisdiction of the courts located in New York, New York.

11. CHANGES TO THE TERMS AND CONDITIONS

These Terms and Conditions apply until further notice, and the User agrees to respect and comply with the Terms and Conditions in effect at any given time. Coconet may, from time to time, modify these Terms and Conditions. In the event of any significant changes to these Terms and Conditions, Coconet will notify the User of such changes via the App or by email. To the extent permitted by applicable law, by continuing to use the Services after the changes take effect, the User will be deemed to have accepted the updated Terms and Conditions.

12. THIRD-PARTY LINKS AND CONTENT

Coconet Website and App may contain links to third-party websites or services, including those of clubs or other external services, which are not owned or controlled by Coconet. Coconet has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites or services. Users access these third-party websites or services at their own risk.

13. FORCE MAJEURE

Coconet shall not be held liable for any failure to fulfill its obligations where such failure is due to events beyond its control, including, but not limited to, natural disasters (such as fire, flood, earthquake, storm, hurricane, or other catastrophic events), war, invasion, acts of foreign enemies, hostilities (whether declared or not), civil unrest, rebellion, revolution, insurrection, military or usurped power, confiscation, terrorist activities, nationalization, government sanctions, blockages, embargoes, labor disputes, strikes, lockouts, or interruptions or failures in electricity or telecommunications services.

14. SEVERABILITY

If any provision of these Terms is determined to be unenforceable or invalid under applicable law, such unenforceability or invalidity shall not affect the enforceability or validity of the remaining provisions of these Terms. The unenforceable or invalid provision will be removed, while the remaining provisions will continue in full effect.

15. TERMINATION

Coconet may terminate or suspend access to our services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms. Upon termination, your right to use the service will immediately cease. Users may terminate their accounts at any time by contacting Coconet customer support.

16. LANGUAGE

These Terms are written in English. Any translations provided are for the convenience of users only. In the event of a discrepancy between the English version and a translated version, the English version shall take precedence.
